Partnership tax preparation for growing San Diego County companies

Partnership tax returns carry more owner-level detail than almost any other business return. Each partner's share of income, guaranteed payments, capital account and liabilities has to follow the operating agreement and the tax rules at the same time. When those are off, partners feel it on their personal returns and in disputes when someone buys in or exits.

Scalesight prepares federal Form 1065 and the California partnership or LLC return for operating businesses, professional practices and real estate partnerships. We read the operating agreement before we prepare the first K-1.

What partnership tax preparation includes

  • Federal Form 1065 and Schedule K-1 for every partner
  • California Form 565 for partnerships or Form 568 for multi-member LLCs
  • Tax basis capital account reporting for each partner
  • Guaranteed payments and special allocations under your operating agreement
  • Section 754 elections and basis adjustments when interests change hands
  • Nonresident partner withholding with California Forms 592 and 592-B
  • Partnership representative designation under the federal audit rules
  • Schedules K-2 and K-3 when international items are present

Who we prepare partnership returns for

  • Multi-owner operating businesses taxed as partnerships
  • Multi-member LLCs, including professional practices
  • Real estate and investment partnerships with several investors
  • Partnerships admitting, redeeming or buying out a partner

California partnership and LLC requirements

California treats partnerships and LLCs differently. General partnerships file Form 565 and do not pay the annual tax, while limited partnerships and LLPs pay the $800 annual tax. Multi-member LLCs file Form 568, pay the $800 annual tax and owe an additional LLC fee once California gross receipts reach $250,000.

If any partner lives outside California, the partnership may need to withhold California tax on that partner's share of income using Forms 592 and 592-B, or the partners may join a group nonresident return. Missing that step creates penalties for the partnership even when the partner pays their own tax.

Partnership Tax Preparation questions

When is a partnership tax return due?

For calendar-year partnerships, Form 1065 and the partner K-1s are due March 15. An extension with Form 7004 moves the deadline to September 15. Partners often wait on K-1s to file their own returns, so we aim to deliver them as early as the books allow.

What are guaranteed payments?

Guaranteed payments are amounts paid to a partner for services or the use of capital that do not depend on partnership income, similar to a salary. They are deductible to the partnership and taxable to the partner, generally subject to self-employment tax.

What happens when a partner leaves or a new partner joins?

Ownership changes affect allocations for the year, capital accounts and sometimes the basis of partnership assets. A Section 754 election can adjust asset basis for the incoming partner. We review the transaction documents before year end so the return reflects the deal correctly.

Do multi-member LLCs file partnership returns?

By default, yes. A multi-member LLC is taxed as a partnership for federal purposes unless it elects corporate or S corporation treatment. In California it files Form 568 and pays the LLC annual tax and any LLC fee.
